Terms of Service

By accessing our website, contacting us for services, or entering into a project agreement with Rupesh Technologies, you confirm that you have read, understood, and agree to be bound by these Terms of Service.

If you do not agree to these terms, please do not use our services. These terms apply to all clients, visitors, and users of our services.

Rupesh Technologies provides the following IT and digital services to businesses in Jharkhand, Bihar, and across India:

• Website Design & Development — Business, portfolio, and eCommerce websites
• CRM Software Development — Custom customer relationship management systems
• ERP Software Development — Enterprise resource planning solutions
• School Management Software — Fees, attendance, results & student data management
• Mobile App Development — Android & iOS applications
• SEO & Digital Marketing — Google ranking, Google Ads, Facebook Ads
• Web Maintenance & Support — Annual maintenance contracts (AMC)

The exact scope of services will be defined in a written project proposal or agreement provided before work begins.

All payments are to be made as per the agreed schedule in the project proposal. Standard payment structure is as follows:

• 50% advance before project work begins
• 25% on design/development milestone approval
• 25% on final delivery and launch

Payments can be made via bank transfer, UPI, or other mutually agreed methods. All prices are in Indian Rupees (INR) unless otherwise stated.

Upon receipt of full and final payment, the client receives full ownership of the custom-built website, software, or application developed exclusively for them.

• Source code, design files, and assets created specifically for the client become the client's property after full payment.
• Rupesh Technologies retains the right to use the completed project in its portfolio and for promotional purposes unless the client requests otherwise in writing.
• Third-party tools, frameworks, libraries, or plugins (e.g. Laravel, WordPress, Bootstrap) are subject to their own respective open-source or commercial licenses.
• Any content (text, images, logos) provided by the client remains the client's property. The client confirms they have rights to use all content provided to us.

To ensure the project is completed on time and to specification, the client agrees to:

• Provide all required content (text, images, logo, branding) in a timely manner as requested.
• Give clear and consolidated feedback within 3 working days of receiving deliverables for review.
• Nominate a single point of contact to communicate with our team to avoid conflicting instructions.
• Ensure all content and materials provided do not infringe on any third-party intellectual property or legal rights.
• Make payments as per the agreed schedule to avoid project delays.

Estimated timelines are provided in the project proposal. Timelines are subject to change based on:

• Delay in client feedback or content submission
• Scope changes or additional feature requests during development
• Third-party service delays (hosting providers, payment gateways, etc.)

Revisions Policy: Each project includes a defined number of revision rounds as stated in the proposal. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.

Both parties agree to keep confidential any sensitive business information shared during the project. Rupesh Technologies will not disclose client business data, login credentials, or proprietary information to any third party without prior written consent.

• All client login credentials and sensitive data are stored securely and shared only on a need-to-know basis within our team.
• We will never sell or rent your personal or business data to third parties.
• This confidentiality obligation survives the termination of the service agreement.

Rupesh Technologies shall not be held liable for:

• Any indirect, incidental, or consequential damages arising from the use or inability to use our services.
• Loss of business, revenue, or data resulting from website downtime, server issues, or third-party service failures.
• Security breaches caused by third-party hosting providers, plugins, or client negligence (e.g. sharing passwords).
• Issues arising from client-provided content that infringes on third-party rights.

Either party may terminate the service agreement under the following conditions:

• By the Client: Written notice of termination may be given at any time. Work completed up to the termination date will be billed, and the advance payment will not be refunded.
• By Rupesh Technologies: We reserve the right to terminate a project if the client fails to make payment, provides illegal or unethical content, or engages in abusive behavior toward our team.

Upon termination, all deliverables completed up to that point will be handed over once outstanding payments are cleared.

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Sahibganj, Jharkhand, India.

Rupesh Technologies reserves the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page with an updated "Last Updated" date.
